mailed to TSYS’ shareholders together with this Proxy Statement.
Shareholder
Proposals For the 2001 Proxy Statement
Any
shareholder satisfying the Securities and Exchange Commission
requirements and wishing to submit a proposal to be included
in the Proxy Statement for the 2001 Annual Meeting of Shareholders
should submit the proposal in writing to the Secretary, Total
System Services, Inc., 901 Front Avenue, Suite 301, Columbus,
Georgia 31901. TSYS must receive a proposal by November 10,
2000 in order to consider it for inclusion in the Proxy Statement
for the 2001 Annual Meeting of Shareholders.
Director
Nominees or Other Business
for Presentation at the Annual Meeting
Shareholders
who wish to present director nominations or other business at
the Annual Meeting are required to notify the Secretary of their
intent at least 45 days but not more than 90 days before March
10, 2001 and the notice must provide information as required
in the bylaws. A copy of these bylaw requirements will be provided
upon request in writing to the Secretary, Total System Services,
Inc., 901 Front Avenue, Suite 301, Columbus, Georgia 31901.
This requirement does not apply to the deadline for submitting
shareholder proposals for inclusion in the Proxy Statement (see
“Shareholder Proposals for the 2001 Proxy Statement” above),
nor does it apply to questions a shareholder may wish to ask
at the meeting.
Solicitation
of Proxies
TSYS
will pay the cost of soliciting proxies. Proxies may be solicited
on behalf of TSYS by directors, officers or employees by mail,
in person or by telephone, facsimile or other electronic means.
TSYS will reimburse brokerage firms, nominees, custodians and
fiduciaries for their out-of-pocket expenses for forwarding
proxy materials to beneficial owners.
